Bruce's practice includes the structuring, documentation and negotiation of real estate transactions, including acquisitions, sale, exchange, development and redevelopment; office, industrial and retail leasing; construction and permanent financing; and joint ventures. He has extensive experience in representing home building companies in all aspects of single and multi-family residential developments, and commercial developers in the development of office and industrial buildings and shopping centers. He also represents institutional and private lenders in commercial and real estate lending transactions.
Bruce's experience includes the following representative real estate matters for his clients:
- Negotiation of a Disposition and Development Agreement with the Redevelopment Agency of a major San Francisco Bay Area city for the redevelopment of a 26-acre site, and in the negotiation of related project financing, the sale and leasing of pads, and the eventual sale of the project.
- The sale of a seven office-building complex by the Indiana Department of Insolvency for an insolvent insurance company in receivership, together with the assignment of a note and deed of trust secured by an eighth building in the same complex.
- The acquisition by a publicly-traded home building company of the assets of a privately held home building company, including membership interests in existing project limited liability companies, with a value in excess of $80,000,000.
- The acquisition of a 550 lot single family residential subdivision for a home building company, with subsequent land bank financing of the project.
- The acquisition of an 82 unit condominium project in San Francisco, California for a home building company, by means of the acquisition of membership interests in, and the formation of an off-balance sheet entity with the limited liability company that owned the project.
Bruce's experience also includes a broad range of general business matters including the structuring of entities and transactions, and entity level and asset acquisitions of businesses.
Prior to joining Morgan Miller Blair, one of Bruce's clients was the Pacific-10 Conference, for whom he handled a variety of matters, including contract negotiations with the television and cable networks that televise the Conference's intercollegiate football and basketball games.
Bruce has been recognized as a Northern California "Super Lawyer" in the Law & Politics magazine surveys consecutively from 2004-2010.
Bruce has served twice as the Chairman of Morgan Miller Blair, most recently during the period of 2006 - 2008.
