Careful Drafting Needed to Ensure that Purchase Agreements are not Found to be Revocable Option ContractsDate: June 13, 2008Monica Sloboda advises clients on a wide range of retail, commercial and residential development transactions, including retail and commercial leasing, acquisitions and dispositions. Monica is the Vice Chair of the firm's Real Estate Practice Group.
Monica's practice includes the negotiation of a variety of real estate transactions for the acquisition and disposition of property, including the drafting of purchase agreements, lease agreements, and other documents related to retail, commercial and residential development.
Monica has worked with local and regional clients on the following representative matters:
- Preparation and negotiation of leases, including office, industrial, and ground and in-line leases for retail shopping centers.
- Drafting and negotiating of documents related to the development of shopping centers, including development agreements, declarations of covenants, conditions and restrictions, license agreements, non-disturbance agreements, and commission agreements.
- Preparation and negotiation of purchase agreements for commercial, retail and residential development.
- Performance of title review and due diligence for real estate purchase and leasing transactions.
Monica has extensive experience representing both developers and tenants under major retail leases and subleases related to the development of shopping centers.
Monica was named as a 2009 Northern California Rising Star by the SuperLawyers, a designation received by only 2.5 percent of young lawyers in the area. Prior to joining Morgan Miller Blair, Monica practiced at Miller, Starr and Regalia where she worked as a real estate transactional associate, drafting and negotiating retail and commercial leases and purchase contracts.
