George concentrates his practice in the areas of general business and entity taxation. George handles diverse legal and tax planning needs for a variety of businesses and frequently acts in a “general counsel” capacity for clients.
George actively participated for many years in the State Bar committee which drafted California’s limited liability company act, the revised uniform partnership act and numerous amending statutes, ultimately chairing that committee in 1998-1999.
George frequently handles the following matters for his clients:
- Formation and structuring of closely-held business entities, including employment and buy-sell arrangements among owners.
- Planning complex entity structures for new and existing homebuilders and commercial real estate developers, including use of single purpose, limited-life entities for projects, affiliated management companies, licensed general contractors and DRE-licensed entities.
- Structuring taxable and non-taxable mergers and acquisitions.
- Creation of stock option plans, deferred compensation plans and complex executive compensation programs for a broad range of technology and general business clients.
- Formation and operation of tax-exempt entities, including obtaining determination of tax exempt status from IRS and FTB.
Prior to joining Morgan Miller Blair in 1994, George practiced in San Diego, California and Michigan.
George has been recognized as a Northern California “Super Lawyer” in the Law & Politics magazine surveys consecutively from 2004-2010.
